General terms and Conditions of Sale (GTC)



I. General Provisions

  1. These General Terms and Conditions of Sale (hereinafter referred to as the “GTC”) define the rules governing the conclusion of sales agreements for goods offered by the Seller:

  2. These GTC apply to the sale of goods offered by the Seller to other business entities. However, if the parties have agreed upon their rights and obligations in a separate written agreement, the provisions of such agreement shall prevail, and these GTC shall apply only to matters not regulated therein.
  3. By placing an order or commencing the performance of the agreement, the Buyer confirms that they have read and accepted these GTC. In the case of ongoing cooperation, acceptance of the GTC with one order shall be deemed acceptance for all subsequent orders.
  4. Any amendments to the GTC shall be deemed accepted if the Buyer does not submit written objections within 7 days from the date of their delivery or publication.
  5. The Buyer declares that the agreement is concluded within the scope of its business activity and that the purchased goods are intended for professional use.

II. Placing Orders

  1. A sales agreement is concluded when an order is placed in writing (e-mail) or by telephone and subsequently confirmed by the Seller via e-mail. If the Buyer raises no objection within 3 hours of the confirmation, the agreement shall be considered concluded.
  2. Failure to confirm an order does not constitute acceptance for execution.
  3. All prices are net prices and are subject to VAT at the applicable rate.
  4. Prices including delivery do not include unloading or additional services.
  5. In the case of sales without delivery, transportation costs may be added according to market rates.
  6. The Seller shall not be liable for failure to fulfill an order due to reasons beyond its control (e.g. lack of material availability, force majeure).

III. Order Fulfillment and Payments

  1. The Buyer is obliged to collect the goods immediately after being informed that they are ready for dispatch. Delays may result in storage charges.
  2. The Buyer is responsible for specifying the correct parameters, quality and quantity of the goods. If no detailed requirements are specified, goods of standard commercial quality shall be delivered.
  3. Invoices are payable within the time limit specified on the invoice. The date of payment shall be the date on which the Seller’s bank account is credited.
  4. The Buyer agrees to receive invoices in electronic form.
  5. In the event of delayed payment, the Seller is entitled to charge statutory interest and recover debt collection costs.
  6. The Seller may suspend further deliveries until outstanding payments are settled or may request payment security.
  7. The Seller may require advance payment as a condition for order fulfillment.
  8. The Buyer undertakes to inform the Seller of any changes to its address or contact details.
  9. If justified doubts arise regarding the Buyer’s solvency, the Seller may suspend order fulfillment or withdraw from the agreement.

IV. Complaints and Warranty

  1. Complaints must be submitted exclusively in writing or by e-mail to: info@lustal.pl or to the e-mail address of the LUSTAL sales representative responsible for the Buyer. Complaints submitted by telephone will not be considered.
  2. The Buyer is obliged to inspect the goods immediately upon delivery.
  3. The Seller’s liability covers only physical defects that reduce the value or usability of the goods. Complaints must be submitted within 7 days from delivery and before the goods are further processed or used.
  4. Quantity-related complaints must be reported on the day of delivery and noted on the transport documents.
  5. Return of goods requires the Seller’s prior written consent. The goods must be unused, unprocessed and in their original packaging.
  6. Complaints apply only to full packages delivered by the Seller.
  7. The Seller shall not be liable for indirect damages or loss of profit.
  8. In the case of unjustified complaints, all related costs shall be borne by the Buyer.
  9. Transport-related complaints must be noted on the transport documents and reported on the day of delivery.
  10. Complaints will be reviewed within up to 60 days.
  11. The initiation of a complaint procedure does not suspend the obligation to pay the invoice.
  12. Any disputes arising from the agreement shall be settled by the court having jurisdiction over the Seller’s registered office in accordance with Polish law.
  13. The Seller’s liability is limited to the net value of the goods subject to the complaint.

PRIVACY POLICY AND GDPR

This Privacy Policy defines the rules for processing personal data and the use of cookies in connection with the use of the website lustal.pl. We make every effort to ensure that personal data is processed securely, in compliance with applicable laws, and with respect for the privacy of users and business partners, in particular in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR).

In accordance with Article 13 of the GDPR, every data subject has the right to access their personal data, rectify it, erase it, restrict its processing, transfer the data, and object to its processing. Where data processing is based on consent, such consent may be withdrawn at any time without affecting the lawfulness of processing carried out prior to its withdrawal. Data subjects also have the right to lodge a complaint with the President of the Personal Data Protection Office (UODO).

Personal data may be shared with entities cooperating with the controller to the extent necessary to provide services, in particular IT and hosting providers, accounting and legal service providers, e-mail service operators, as well as logistics and transport companies. These entities process data solely on the basis of appropriate agreements and in accordance with the controller’s instructions.

Personal data is stored for the period necessary to achieve the purposes of processing, in particular for the duration of cooperation or handling of an inquiry, and afterwards for the period required by law, including tax and accounting regulations, or until an objection is raised or consent is withdrawn.
